CasaOS Independent Service Provider Addendum

Additional terms for independent cleaning and property-service providers.

CasaOS is operating in beta. Its legal entity, business address, and legal or privacy contacts are being finalized and will be published before general availability.

Who this addendum covers

This addendum applies only when an independent service provider or independent provider business accepts it for work offered through CasaOS. It does not apply to an employee, internal staff member, or a person classified under a separate written employment agreement.

Independent provider relationship

The provider may choose whether to accept a Service Opportunity and may work with other businesses and platforms. The provider is responsible for its own business operations, personnel, tools, taxes, licenses, registrations, and insurance to the extent required by applicable law. The actual relationship remains subject to applicable law and the facts of the engagement.

Subject to the agreed result, property-access requirements, guest turnover timing, lawful safety requirements, and the accepted scope, the provider determines the lawful manner and means of performing its independently contracted services. CasaOS does not require exclusivity, minimum hours, or acceptance of a minimum percentage of opportunities. CasaOS does not guarantee opportunities, earnings, hours, recurring work, a geographic territory, a particular property, or continued platform access.

Service Opportunities

Before accepting a Service Opportunity, the provider should review the operator, property, service type, date or completion window, offered compensation, scope, checklist, completion documentation, and special requirements. By affirmatively accepting an opportunity, the provider agrees to the disclosed scope and compensation for that opportunity, subject to later documented changes.

  • A provider is not required to accept future work or meet a minimum acceptance rate.
  • An accepted opportunity is time-sensitive. If the provider cannot complete it, the provider must notify the operator promptly.
  • Material work outside the accepted scope should be approved before it is performed when reasonably practicable.
  • A reasonable correction may be requested for provider-caused deficiencies; it does not require uncompensated correction of preexisting, extraordinary, or out-of-scope conditions.

Service engagement and payment

Each accepted Service Opportunity is a separate service engagement between the provider and the operator identified on that opportunity, unless the opportunity expressly identifies another contracting party. The identified operator is generally the party requesting and responsible for payment for the underlying service. CasaOS may calculate, facilitate, process, document, reconcile, or track payments, but does not guarantee a third party’s payment obligation unless it expressly agrees in writing.

The accepted compensation may not be changed unilaterally after acceptance. A scope or price change is effective only when the applicable parties document and approve it. The provider remains responsible for its own ordinary business expenses, including transportation, equipment, tools, supplies, personnel, insurance, and taxes unless a Service Opportunity expressly provides otherwise.

Access, privacy, and completion evidence

  • Use property access information only for the authorized opportunity and do not retain, share, or reuse it after the operational need ends.
  • Promptly report lost keys, compromised credentials, unauthorized entry, suspected theft, damage, or material safety concerns.
  • Use guest, reservation, and property information only to perform the authorized work. Do not contact or solicit guests for unrelated purposes.
  • Submit truthful, current completion photos, checklists, issue reports, receipts, and other evidence associated with the correct job. Do not falsify, recycle, or manipulate evidence.

Personnel and safety

A provider may use qualified personnel only when permitted by the applicable Service Opportunity or operator. The provider remains responsible for people acting on its behalf and may not provide them access credentials without authorization.

The provider should leave and seek emergency assistance when facing an immediate safety threat, then report the incident to the operator when safe to do so.

Responsibility, confidentiality, and records

The provider is responsible, to the extent allowed by law, for its own negligence, intentional misconduct, fraud, theft, unauthorized property access, provider-caused property damage, privacy violations, and material breach of an accepted Service Opportunity. The provider must promptly report damage it causes or discovers and material property, safety, or security issues.

Nonpublic information about CasaOS, operators, property owners, guests, properties, pricing, procedures, and providers is confidential. A provider may use it only for authorized service purposes and may disclose it only to authorized personnel, when required by law, or with authorization. This duty survives termination while the information remains nonpublic. CasaOS may retain acceptance, scope, price, completion, incident, and communication records for operational, security, dispute-resolution, and legal purposes.

Claims, liability, and indemnity

To the maximum extent allowed by law, CasaOS and its owners, officers, employees, affiliates, and agents are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the platform or a third-party service engagement. CasaOS’s aggregate liability arising from this addendum or use of the platform will not exceed the greater of amounts paid directly by the provider to CasaOS in the six months before the claim or $500. This does not exclude liability that applicable law does not allow to be excluded.

To the extent allowed by law, the provider will defend, indemnify, and hold harmless CasaOS and its owners, officers, employees, affiliates, and agents from third-party claims, losses, liabilities, damages, and reasonable costs to the extent arising from the provider’s negligence, intentional misconduct, fraud, theft, unauthorized access, property damage, privacy violation, violation of law, or material breach. This does not transfer liability that law does not permit CasaOS to transfer.

State provisions and electronic acceptance

For work at an Alaska property, the parties intend an independently operated provider business to remain an independent contractor to the extent permitted by Alaska law. The provider bears ordinary business expenses and may realize profit or loss based on its costs and accepted compensation. For work at a Texas property, opportunities are generally voluntary, per-job or per-transaction engagements with compensation disclosed before acceptance. Nothing in this addendum guarantees a statutory worker classification in either state.

Selecting an affirmative acceptance control constitutes an electronic signature and acceptance of the displayed Service Opportunity and this version of the addendum. CasaOS may retain the provider identity, account ID, document version, time of acceptance, IP address, device or browser information, and engagement record.

No unresolved arbitration terms

This beta addendum does not contain an arbitration agreement or class or collective-action waiver. Those topics will be addressed only in a future version after the responsible legal entity and applicable terms are finalized.
